Terms of Service
Effective Date: June 22, 2025
These Terms of Service ("Terms," "Agreement") govern your access to and use of the website, landing pages, funnels, and automated CRM assets located at themiraclemarketing.com (the "Site"), as well as any marketing services, strategy sessions, or deliverables provided by Miracle Marketing ("we," "our," or "us").
By accessing our Site, booking a discovery consultation, or entering into a service engagement with us, you ("Client," "User") agree to be bound by these Terms. If you do not agree to these terms, you must immediately cease using our Site and services.
1. Services & Scope of Work
- Deliverables: Miracle Marketing provides digital marketing solutions, funnel design, automated CRM pipelines, and traffic acquisition frameworks. The specific deliverables, timelines, and execution parameters for any project will be governed by a separate, signed Strategic Growth Proposal or Statement of Work (SOW).
- Scope Creep: Any requests made by the Client outside the explicit parameters outlined in the signed proposal will require a separate evaluation and may be subject to additional fees.
- Client Cooperation: The speed and success of our deployment depend heavily on your cooperation. We are not responsible for project delays caused by a Client's failure to provide necessary brand assets, ad copy approvals, passwords, or technical integrations.
2. Fees, Billing, and Retainers
- Payment Terms: Client agrees to pay all fees outlined in their specific setup invoice or monthly retainer agreement. Setup fees are due prior to project kickoff. Monthly retainers are billed in advance of service delivery.
- Late Payments: If a payment method fails or is overdue by more than seven (7) calendar days, Miracle Marketing reserves the right to immediately pause all active marketing campaigns, disconnect automated funnel assets, and suspend CRM access until the balance is paid in full.
- Refund Policy: Due to the custom digital architecture, engineering resources, and immediate labor deployed upon project initiation, all onboarding fees, setup fees, and retainer payments are strictly non-refundable.
3. Intellectual Property Rights
- Our Proprietary Assets: Miracle Marketing retains absolute ownership of all proprietary code, pre-built workflow templates, internal automation logic, snapshot configurations, and structural backend frameworks deployed within GoHighLevel or our software stacks.
- Client Assets: The Client retains full ownership of all copy, images, trademarks, logos, and specific customer lists supplied to us for project execution.
- The Final Product: Upon full payment of all outstanding invoices, the client is granted a non-exclusive, non-transferable license to utilize the finalized front-end landing pages and configured pipeline funnels for their active business operations.
4. Limitation of Liability & Third-Party Platforms
- Platform Dependency: Our strategies rely heavily on third-party platforms (including Meta Ads, Google Ads, Apollo, and GoHighLevel infrastructure). Miracle Marketing holds zero liability for performance fluctuations, algorithm shifts, ad account suspensions, or service outages caused by these external platforms.
- No Revenue Guarantees: While we build high-converting infrastructure based on industry standards, digital marketing inherently carries financial risk. Miracle Marketing makes no express or implied guarantees regarding specific lead volume, sales revenue, or business profitability.
- Maximum Liability: In no event shall Miracle Marketing be liable to the Client for any indirect, consequential, punitive, or special damages. Our total liability under any circumstances shall not exceed the total monetary amount paid by the Client to us during the single month immediately preceding the claim.
5. Term, Cancellation, and Termination
- Retainer Cycles: Unless otherwise stated in your agreement, recurring monthly retainer services operate on a month-to-month cycle.
- Cancellation Notice: Either party may terminate a monthly recurring service by providing a strict 30-day written notice via email to support@themiraclemarketing.com.
- Final Billing: If a cancellation notice is submitted mid-cycle, the Client is responsible for the final month's billing to satisfy the 30-day requirement, and services will remain active through the end of that final billing window.
6. Telephone Consumer Protection Act (TCPA) Compliance Disclaimer
When utilizing our automated SMS and communication engines, the Client acknowledges that they are solely responsible for ensuring that all uploaded contact lists, cold databases, or lead inputs have provided legally compliant opt-in consent. Miracle Marketing provides the automation pipeline but does not accept liability for TCPA violations resulting from Client-supplied lists.
7. Governing Law & Jurisdiction
This Agreement, and all claims or disputes arising out of or relating to it, shall be governed by, interpreted, and enforced in accordance with the laws of the Commonwealth of Virginia, without regard to its conflict of law principles. Any legal actions or proceedings must be initiated strictly within the courts located in Fairfax County, Virginia.
